Terms of Service

Welcome to PoolQuote Pro. These Terms of Service (the “Terms”) govern your access to and use of the PoolQuote Pro platform, including our website, dashboards, public quote builder, customer portal, subcontractor portal, and related services (collectively, the “Service”). By creating an account or otherwise using the Service you agree to be bound by these Terms.

Important: The Service includes a customer-facing portal and an embeddable quote builder. When your customers interact with those tools, they may also be subject to these Terms. You agree to make the existence of these Terms reasonably available to those customers.

1. The Service

PoolQuote Pro is a multi-tenant software platform that helps pool builders manage leads, quotes, customers, projects, invoices, documents, and related business operations. We continually improve the Service and may add, modify, or remove features without notice.

2. Your Account

2.1 Eligibility

You must be at least 18 years old and have the authority to bind your business to these Terms. By signing up you represent that the information you provide is accurate and that you are authorized to act on behalf of your company.

2.2 Account security

You are responsible for maintaining the confidentiality of your login credentials and for all activity that happens under your account. Notify us immediately at support@poolquotepro.com if you suspect unauthorized access. We are not liable for any loss resulting from your failure to protect your credentials.

3. Subscriptions and Payment

3.1 Plans and billing

Paid plans are billed monthly or annually in advance through our billing partner (LemonSqueezy). Pricing is shown on the Pricing page and may change with at least thirty (30) days notice. Existing paid subscriptions will continue at their current rate through the end of the then-current term.

3.2 Free trials

We may offer a free trial period. Unless cancelled before the trial ends, your account will automatically convert to a paid plan at the listed price.

3.3 Refunds

Subscription fees are non-refundable except where required by law. You may cancel at any time and your subscription will remain active through the end of the paid period.

3.4 Taxes

Prices exclude any applicable sales tax, VAT, or similar taxes, which may be added at checkout based on your billing location.

4. Customer Payments through the Service

If you enable Stripe integration to accept invoice payments from your customers, those payments are processed by Stripe and are subject to Stripe’s terms. We are not a party to those transactions and are not responsible for chargebacks, disputes, or funds held by Stripe.

5. Acceptable Use

You agree not to:

• Use the Service to send unsolicited marketing or any content that violates the CAN-SPAM Act, TCPA, GDPR, or any other applicable law
• Upload, store, or transmit any content that is unlawful, infringing, defamatory, deceptive, or violates the privacy or intellectual property rights of others
• Attempt to gain unauthorized access to other tenants’ data, the underlying infrastructure, or any account other than your own
• Reverse engineer, decompile, or attempt to derive the source code of the Service
• Resell, sublicense, or white-label the Service without our written permission
• Use the Service to compete with PoolQuote Pro
• Interfere with or disrupt the integrity or performance of the Service, including through automated scraping, denial of service attacks, or excessive API requests

6. Your Data and Customer Data

6.1 Ownership

You retain all rights to the data you and your team upload to the Service, including leads, customers, quotes, projects, invoices, photos, and documents (“Customer Data”). You grant us a limited, non-exclusive license to host, process, and display Customer Data solely as necessary to provide the Service.

6.2 Customer information

Customer Data may include personal information about your customers (homeowners) and subcontractors. You are responsible for ensuring you have the legal right to provide that information to us, including obtaining any required consents.

6.3 Backups

We perform regular backups but do not guarantee retention of any specific data. We strongly recommend exporting critical Customer Data periodically.

7. Confidentiality

Each party agrees to keep the other party’s confidential information confidential and to use it only as necessary to perform under these Terms. This section survives termination.

8. Intellectual Property

The Service, including its underlying code, design, branding, trademarks, and documentation, is owned by PoolQuote Pro and protected by intellectual property laws. These Terms do not grant you any rights other than the limited right to use the Service as provided.

9. Suspension and Termination

We may suspend or terminate your account at any time if you breach these Terms, fail to pay fees when due, or use the Service in a way that we reasonably believe could harm us, our users, or third parties. You may cancel at any time from Settings → Billing or by contacting us. Upon termination, your right to use the Service ends and we may delete your data after a reasonable retention period.

10. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT QUOTE ESTIMATES GENERATED BY THE SERVICE ARE ACCURATE FOR ANY PARTICULAR PROJECT.

11. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, POOLQUOTE PRO AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUES, DATA, OR GOODWILL. OUR TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED US DOLLARS ($100).

12. Indemnification

You agree to defend, indemnify, and hold harmless PoolQuote Pro and its affiliates from any third-party claims arising out of (a) your use of the Service in violation of these Terms, (b) your Customer Data, or (c) your interactions with your own customers or subcontractors.

13. Governing Law and Disputes

These Terms are governed by the laws of the State of Texas, USA, without regard to conflict-of-law principles. Any dispute arising under these Terms will be resolved in the state or federal courts located in Travis County, Texas, and you consent to personal jurisdiction there. (Please consult a lawyer to confirm the jurisdiction that’s right for your business.)

14. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or through the Service. Continued use of the Service after the changes take effect constitutes your acceptance of the updated Terms.
